These Terms of Service (“Terms”) govern your access to and use of the websites, services, digital content, studio bookings, and submission tools provided by IIT.S (“we,” “us,” or “our”), an independent record label and studio based in Canada.

By using our website, submitting creative materials, downloading content, or engaging our studio services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Eligibility

You must be at least 13 years of age to use our services. If you are under the age of majority in your province or territory, you may only use the services with the involvement and consent of a parent or legal guardian.

2. Artist Submissions

We welcome creative submissions; however, by submitting demos, lyrics, beats, or any other content (“Submissions”) to IIT.S, you acknowledge and agree to the following:

• You are the creator of the material or have full rights to share it.
• Submitting content does not create any contract, partnership, or obligation on our part.
• We are under no obligation to review or respond to Submissions.
• We will not use your Submission for commercial purposes without your explicit written consent.

Confidentiality

All unreleased material, concepts, or ideas submitted to us will be treated as confidential. We will not share your Submission with third parties outside of IIT.S without your permission. Similarly, you agree not to disclose any internal processes, unreleased content, or private communications related to IIT.S without written approval.

This confidentiality clause is non-binding and does not replace a formal NDA, which may be issued separately if we enter further discussions or agreements.

3. Studio Services

When booking or using the IIT.S studio, you agree to the following:

• You will respect the studio space, equipment, and allotted session time.
• Cancellations must be made at least 24 hours in advance to avoid fees.
• You are responsible for managing and backing up your own files unless file delivery or storage is specifically arranged with us.
• Any joint work, collaborations, or co-creations may require separate written agreements regarding usage, credits, royalties, and rights.

4. Digital Content and Licensing

From time to time, we may offer digital content such as beats, loops, sample packs, or downloads (“Digital Content”). Unless otherwise specified:

• You are granted a non-exclusive, non-transferable license for personal or creative use only.
• Redistribution, resale, or commercial use of Digital Content is strictly prohibited without a separate written license.
• All content remains the intellectual property of IIT.S or the original content creator.

5. Intellectual Property

All trademarks, branding, website content, and materials associated with IIT.S are protected by applicable intellectual property laws and remain the property of IIT.S or its licensors. You may not copy, reproduce, or distribute any part of the Services without our prior written consent.

6. Limitation of Liability

While we strive to provide a reliable and professional experience, you acknowledge that:

• Our services are provided “as is” without warranties of any kind.
• IIT.S is not liable for any loss of data, delays, or technical issues resulting from use of our website, studio, or downloads.
• You use all IIT.S services at your own risk.

To the extent permitted by law, IIT.S shall not be liable for any indirect, incidental, or consequential damages.

7. Privacy

We are committed to protecting your privacy. Any personal information you provide will be handled in accordance with our Privacy Policy, which outlines how data is collected, stored, and used.

8. Updates to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after such updates constitutes acceptance of the revised Terms.
